Terms and Conditions for Beam

1. Acceptance of Terms
By accessing, downloading, installing, or using Beam, a privacy-focused financial application developed by Kiyo Labs ("we," "us," or "our"), you agree to be bound by these Terms and Conditions, our Privacy Policy, and any additional guidelines or rules we may publish. If you do not agree to these terms in their entirety, you are prohibited from using Beam. Your continued use of the app following any updates to these terms constitutes your acceptance of the revised terms.
2. Description of Service
Beam is a non-custodial software application designed to facilitate private blockchain-based financial transactions, leveraging zero-knowledge technology to enhance user privacy. Beam enables peer-to-peer transfers, fiat on/off-ramp functionality, and virtual account management through integrations with licensed third-party providers. However, Beam is not a bank, financial institution, money services business, cryptocurrency exchange, or money transmitter. We do not custody, hold, manage, or control user funds, private keys, or digital assets at any point. We do not offer investment advice, execute trades, provide lending services, or act as a financial intermediary. All financial activities conducted through Beam are the sole responsibility of the user and any third-party service providers integrated into the platform.
3. Eligibility and Geographic Restrictions
To use Beam, you must be at least 18 years of age, have the legal capacity to enter into a binding agreement, and reside in a jurisdiction where Beam services are offered. Beam is not available in the following countries and territories due to regulatory, security, or operational considerations: Afghanistan, Albania, Algeria, Bangladesh, Barbados, Belarus, Bhutan, Bosnia and Herzegovina, Botswana, Burkina Faso, Burundi, Cambodia, Cameroon, Central African Republic, China, Cuba, Democratic Republic of the Congo, Ecuador, Eritrea, Ethiopia, Gambia, Gaza Strip, Grenada, Guinea, Guinea-Bissau, Haiti, Iran, Iraq, Jamaica, Jordan, Kenya, Kosovo, Lebanon, Liberia, Libya, Madagascar, Mali, Morocco, Mozambique, Myanmar, Nepal, Nicaragua, Niger, Nigeria, North Korea, North Macedonia, Pakistan, Qatar, Russian Federation, Senegal, Seychelles, Slovenia, Solomon Islands, Somalia, South Africa, South Sudan, Sudan, Suriname, Syria, Tanzania, Togo, Tonga, Trinidad and Tobago, Turkey, Turks and Caicos Islands, Uganda, Ukraine, Vanuatu, Venezuela, Vietnam, West Bank, Western Sahara, Yemen, Zimbabwe, United States, Canada. We reserve the right to block access from these jurisdictions using IP filtering, user agreement enforcement, and third-party screening mechanisms.
4. User Accounts and Responsibilities
● Account Creation: You may need to create an account to use certain features of Beam. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
● Compliance: You agree to use Beam in compliance with all applicable local, national, and international laws, including those related to taxation, anti-money laundering (AML), and counter-terrorism financing (CTF).
● Prohibited Activities: You may not use Beam for illegal purposes, including but not limited to money laundering, fraud, or the purchase of illicit goods or services. You are solely liable for any losses or damages resulting from unauthorized access, hacking, phishing, or misuse of your account or funds.
● Third-Party Interactions: Your interactions with third-party providers integrated into Beam are governed by their terms and policies, not ours.
5. Fees and Payment Terms
Beam may impose transaction fees for certain services (e.g., on/off-ramps or swaps), which will be disclosed to you prior to transaction initiation. Fees are subject to change, and you are responsible for reviewing them. All fees are non-refundable unless otherwise required by law.
6. Intellectual Property
Beam, including its software, design, logos, and documentation, is the exclusive property of Kiyo Labs and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use Beam for personal, non-commercial purposes in accordance with these terms. You may not copy, modify, distribute, sell, or reverse-engineer any part of Beam without our prior written consent.
7. Third-Party Services and Limitations
Beam integrates with licensed third-party providers for fiat on/off-ramp services, virtual account management, and compliance screening. We are not responsible for the performance, security, availability, or compliance of these third parties. Any disputes or issues with third-party services must be resolved directly with the respective provider. We disclaim all liability for losses or damages arising from third-party actions or failures.
8. Limitation of Liability
Beam is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. To the maximum extent permitted by law, Kiyo Labs and its affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of Beam or reliance on its services.
We reserve the right to suspend or terminate your access to Beam, with or without notice, if you violate these terms, engage in prohibited activities, or if we determine it is necessary for security or compliance reasons. Upon termination, your right to use Beam ends immediately, and you must cease all use of the app.
10. Dispute Resolution
Any disputes arising from your use of Beam will be governed by the laws of the State of Wyoming, United States, excluding its conflict of law provisions. You agree to attempt to resolve disputes informally with us before pursuing legal action. Any legal proceedings must be brought exclusively in the state or federal courts located in Wyoming.
11. Changes to Terms
We may update these Terms and Conditions at any time to reflect changes in our services, legal requirements, or business practices. We will notify you of significant changes via the app or email. Your continued use of Beam after such changes constitutes your acceptance of the updated terms.
12. Force Majeure
We are not liable for any delay or failure to perform our obligations under these terms due to circumstances beyond our reasonable control, including natural disasters, government actions, or network outages.
13. Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
14. Entire Agreement
These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and Kiyo Labs regarding your use of Beam and supersede all prior agreements or understandings.
